These Terms of Service for Users (“Terms of Service” or “Terms”) govern your use of the ProcureSource website (the "Site") and ProcureSource services (the “Services”) as a user of the Site and Services.  If you are a cooperative or supplier, please see the Terms of Service for Cooperatives and Suppliers.  These Terms of Service are a legal agreement between you and ProcureSource respecting your use of the Site and Services.  Please read these Terms of Service carefully before using the Site or the Services.  By using the Site or Services, you agree to these Terms of Service. We may refuse to accept or transmit User Content.  We may remove User Content from the Site or Services for any reason.

You further agree that we are free to use for any purpose whatsoever, ideas, know-how, concepts, techniques, comments, criticisms, reports, or other feedback ("Feedback"), whether oral or written, that you may send to us.  You acknowledge and agree that you have no expectation of compensation of any nature, and that we have no duties to you, with respect to such Feedback.

Other than User Content, as between you and us, we own or license the content on the Site and Services, including software, text, visual and audio content (referred to together as "Content") and our trademarks, logos, and brand elements (referred to as "Marks").  The Content and Marks are protected under U.S. and international laws.

If any provision of these Terms is found to be unlawful, void, or unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity or enforceability of any remaining provisions.

The failure of us to enforce any right or provision of these Terms will not prevent us from enforcing such right or provision in the future.
We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, a sale of assets or by operation of law.
